Copyright and Intellectual Property Policy

1. Ownership of Company Intellectual Property

All rights, title, and interest in and to the Services, including but not limited to:

• Software, source code, and compiled code
• Models, algorithms, and orchestration systems
• Documentation, interfaces, and design systems
• Trademarks, service marks, branding, and trade dress

are and remain the exclusive property of Noir Stack LLC or its licensors.

No rights are granted except as expressly provided in the Terms and Conditions.

2. Customer and User Content

Users may submit, upload, or transmit content through the Services ("User Content").

The User retains ownership of their User Content.

By submitting User Content, the User grants the Company a limited, non-exclusive, worldwide license to:

• Host, store, and process the content
• Display and transmit content as necessary to provide the Services
• Perform security, debugging, and operational functions

This license is limited to the operation and improvement of the Services.

3. Prohibited Intellectual Property Conduct

Users shall not:

• Upload, distribute, or transmit content that infringes the intellectual property rights of others
• Use the Services to reproduce, distribute, or create derivative works of protected content without authorization
• Misrepresent ownership or authorship of content
• Remove or alter copyright, trademark, or proprietary notices

The Company reserves the right to remove infringing content and take enforcement action.

4. Digital Millennium Copyright Act (DMCA) Notice

The Company complies with the Digital Millennium Copyright Act and responds to valid notices of alleged copyright infringement.

If a rights holder believes that content hosted or made available through the Services infringes their copyright, they may submit a written notification containing the following:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the material claimed to be infringing and its location
• Contact information of the complaining party (name, address, email)
• A statement of good faith belief that use of the material is not authorized
• A statement that the information provided is accurate, under penalty of perjury
• A physical or electronic signature of the authorized representative

5. Counter-Notification

If content is removed or disabled in response to a DMCA notice, the affected User may submit a counter-notification that includes:

• Identification of the removed material and its prior location
• A statement under penalty of perjury that the removal was a mistake or misidentification
• Consent to jurisdiction of the appropriate court
• Contact information (name, address, email)
• A physical or electronic signature

Upon receipt of a valid counter-notification, the Company may restore the content unless the original complainant files a legal action within the time required by law.

6. Repeat Infringer Policy

The Company may suspend or terminate accounts of Users who are determined to be repeat infringers of intellectual property rights.

Determinations are made at the Company's discretion based on available information and applicable law.

7. AI-Generated Content and Intellectual Property

AI-generated outputs provided through the Services:

• May be based on patterns learned from data
• May not be unique or exclusive
• Are provided without warranty of non-infringement

Users are responsible for ensuring that their use of AI-generated outputs does not infringe the rights of others.

The Company does not guarantee that AI-generated content is free from third-party claims.

8. Trademark Use

Users may not use the Company's trademarks, service marks, or branding:

• Without prior written authorization
• In a manner that suggests endorsement or affiliation
• In a misleading or deceptive way

All trademarks remain the property of their respective owners.

9. Enforcement and Removal

The Company reserves the right to:

• Remove or disable access to content alleged to be infringing
• Investigate suspected violations
• Suspend or terminate accounts
• Cooperate with legal authorities

Actions may be taken without prior notice where appropriate.

10. Limitation of Liability

To the maximum extent permitted under Virginia law, the Company is not liable for:

• User-submitted content
• Claims arising from alleged infringement by Users
• Removal or restriction of content in response to claims

Liability is further governed by the Terms and Conditions.

11. Changes to This Policy

The Company may update this Policy at any time.

Material changes will be reflected by updating the "Last Updated" date. Continued use of the Services constitutes acceptance of the revised Policy.
